1. Introduction
These Terms & Conditions govern any freelance or contract services provided by Samarth Patki ("I," "me," "my") to clients ("you," "the Client") through this website, Upwork, direct engagement, or any other channel. By engaging my services, you agree to these terms.
2. Services
I provide software development, AI/agentic systems integration, web application development, and mobile application development services. The specific scope, deliverables, and timeline for any project will be agreed upon in writing (via proposal, contract, or platform agreement) before work begins.
3. Project Scope & Changes
Work begins only after scope, deliverables, and pricing are mutually agreed upon. Any request that falls outside the originally agreed scope ("scope creep") will be treated as additional work and quoted separately before I proceed with it.
4. Payment Terms
Payment terms (fixed-price, hourly, or retainer) will be agreed upon before a project starts. For fixed-price projects, an upfront deposit may be required before work begins, with the remaining balance due upon completion or per agreed milestones. Late payments may result in a pause of ongoing work until resolved.
5. Intellectual Property & Ownership
Upon receipt of full payment, all rights to the final deliverables (code, designs, and other agreed work product created specifically for the project) transfer to the Client. I retain the right to reuse general knowledge, pre-existing tools, frameworks, and non-client-specific code/components developed in the course of the work. Any third-party libraries, tools, or open-source components used remain subject to their own licenses.
6. Revisions
Each project includes a reasonable number of revisions as agreed in the initial scope. Revisions beyond this, or changes requested after final delivery and sign-off, may be billed separately.
7. Confidentiality
I treat all client information, business data, and project details as confidential and will not disclose them to third parties without permission, except where required by law. I'm happy to sign a separate NDA before a project begins if requested.
8. Timelines
Estimated timelines are provided in good faith based on the agreed scope. Delays caused by late client feedback, missing materials/access, or scope changes may extend the original timeline accordingly.
9. Limitation of Liability
I will perform services with reasonable skill and care, but I am not liable for indirect, incidental, or consequential damages arising from the use of delivered software, including but not limited to loss of business, revenue, or data, except where such liability cannot be excluded by law.
10. Third-Party Tools & Services
Projects may rely on third-party platforms, APIs, or services (e.g. cloud hosting, AI model providers, payment gateways). I am not responsible for outages, pricing changes, or policy changes made by these third parties.
11. Termination
Either party may terminate an ongoing engagement with written notice. The Client is responsible for payment for all work completed up to the termination date.
12. Governing Law
These terms are governed by the laws of India. Any disputes will first be attempted to be resolved amicably before pursuing formal legal action.
